TFB Exchange Terms & Conditions

1. Introduction

These Terms & Conditions govern the use of The Finest Bubble Exchange ("the Exchange"), operated by The Finest Bubble Ltd ("TFB", "we", "our", "us").

The Exchange allows registered customers to buy and sell eligible wines stored within The Finest Bubble's bonded storage service ("Cellar with Us").

By registering for, listing wines on, or purchasing wines through the Exchange, you agree to these Terms.

2. Eligibility

To use the Exchange you must:

• be at least 18 years of age;
• hold a TFB customer account;
• comply with applicable UK laws;
• provide accurate registration information.

We reserve the right to suspend or close accounts where these Terms are breached.

3. Eligible Wines

Only wines that:

• are currently held within TFB's Cellar with Us bonded storage service;
• are owned by the seller;
• are free from any security interest or legal dispute;

may be listed for sale.

Wines stored elsewhere cannot be listed without prior discussion and approval.

TFB may remove any listing that does not meet these requirements.

4. Nature of the Exchange

The Exchange provides an online marketplace through which buyers and sellers can transact.

Unless expressly stated otherwise:

• TFB is not the seller of the wines;
• TFB acts only as facilitator of the transaction;
• the contract of sale is between buyer and seller.

Because every wine listed is already held within Cellar with Us, TFB is able to verify the existence and location of the wine before it is listed and its provenance.

5. Creating Listings

The seller determines:

• the selling price;
• the quantity offered.

By listing a wine, the seller confirms that:

• they own the wine;
• they have authority to sell it;
• the listing is accurate.

Listings may be edited or withdrawn at any time before a buyer commits to purchase.

6. Purchasing Wine

When a buyer completes checkout:

• the listing is immediately removed from sale;
• the transaction becomes binding on both parties;
• ownership will transfer once payment has been successfully received.

TFB reserves the right to cancel transactions where payment cannot be obtained within 7 days.

7. Transfer of Ownership

Following successful payment:

• ownership of the wine transfers from seller to buyer;
• the wine remains stored within Cellar with Us unless the buyer later requests transfer or delivery;
• all future storage charges become the responsibility of the buyer.

8. Commission

TFB charges sellers a commission of 8% of the final selling price.

There is currently no buyer's commission.

Commission becomes payable only upon completion of a successful sale.

The seller will receive the net sale proceeds after deduction of commission.

9. Payments

Buyers must pay at the time of purchase using an accepted payment method.

Once payment has cleared:

• ownership transfers;
• seller proceeds become payable.

TFB may delay payment where fraud prevention or regulatory checks are required.

10. Pricing

All prices shown are:

• per case (unless otherwise stated);
• exclusive of Duty and VAT while wines remain In Bond;
• inclusive of VAT where a Duty & Taxes Paid listing is expressly marked as VAT-inclusive.

The Exchange does not provide investment advice or guarantee future values.

11. Storage

Purchased wines will remain within Cellar with Us unless the buyer requests otherwise.

Separate storage charges may apply in accordance with TFB's Cellar with Us terms.

12. Cancellations

Once payment has been completed, neither buyer nor seller may cancel the transaction except:

• where required by law; or
• where TFB agrees that exceptional circumstances apply.

13. Errors

TFB reserves the right to cancel listings or transactions where there has been:

• a pricing error;
• a technical error;
• duplicate listings;
• incorrect stock information.

Where this occurs, any payments received will be refunded.

14. Limitation of Liability

While we make reasonable efforts to operate the Exchange reliably, we cannot guarantee uninterrupted availability.

To the maximum extent permitted by law, TFB shall not be liable for:

• loss of profits;
• loss of investment value;
• indirect or consequential loss;
• loss of business opportunity;
• loss of anticipated saving;
• loss or corruption of data or information.

Nothing in these Terms limits liability for fraud, death, personal injury, or any liability which cannot legally be excluded.

TFB's total liability to you, for all losses arising out of or in connection with these terms and conditions and/or our products or services shall be limited to £500.

15. Indemnity

Both buyers and sellers agree to defend, indemnify, and hold harmless TFB, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) the buyer's or seller's breach of any provision of these terms and conditions; (b) the buyer’s or seller's improper use of the exchange platform; or (c) the seller’s or buyer's violation of any law or the rights of any third party or a seller or buyer.

16. Fraud and Abuse

Users must not:

• attempt to manipulate prices;
• interfere with the operation of the Exchange;
• create multiple accounts to distort pricing;
• provide false information.

Accounts may be suspended without notice where fraudulent activity is suspected.

TFB will not operate in the exchange to push up bids.

17. Circumvention

Where a buyer and seller are introduced through the Exchange, they must not seek to complete the transaction privately in order to avoid TFB's commission.

TFB reserves the right to recover any commission that would otherwise have been payable and to suspend or terminate accounts involved in such activity.

18. Changes

TFB may amend these Terms from time to time.

The latest version will always be published on our website.

Material changes will apply only to future transactions unless required by law.

19. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
